Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Bronio mobile applications, websites (including bronio.az), and related services (together, the "Service"). The Service is operated by Amin Huseynov, an individual entrepreneur (fərdi sahibkar) registered in the Republic of Azerbaijan ("Bronio", "we", "us", or "our"); taxpayer identification number (VÖEN): [1805136482]; address: Bakı şəhəri, Sabunçu rayonu, Səməd bəy Mehmandarov 7, Poçt Şöbəsi No: 40.

By creating an account, downloading the app, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not use the Service.

1. Definitions

"Service" – the Bronio reservation platform, including the mobile apps,

the website, push notifications, and any associated features.

"User" or "you" – any person who uses the Service, whether as a

Customer or on behalf of a Business.

"Customer" – an individual who uses the Service to discover Businesses and

make Reservations.

"Business" – a company, sole trader, or individual who uses the Service to

receive and manage Reservations and who subscribes to a paid Bronio plan.

"Reservation" – a booking or appointment request placed by a Customer with

a Business through the Service.

"Subscription" – a paid plan that gives a Business access to the

Business-side features of the Service.

"Paddle" – Paddle.com Market Limited, our authorised reseller and

Merchant of Record for paid Subscriptions purchased on the web (see Section 8).

"App stores" – the Apple App Store and Google Play, which handle billing

for Subscriptions purchased in the app.

"RevenueCat" – RevenueCat, Inc., the subscription-management service we use

to operate and manage in-app Subscriptions on top of the app stores' billing systems.

2. The Service

Bronio is a reservation platform. We provide software that lets Customers send Reservation requests to Businesses, and lets Businesses receive, accept, decline, and manage those Reservations. The Service also sends push notifications and reminders relating to Reservations.

Bronio is an intermediary and a software provider only. The actual goods, services, appointments, or experiences that a Reservation relates to are provided solely by the Business, not by Bronio. We are not a party to any contract or transaction between a Customer and a Business, and we do not process payment for the underlying goods or services that a Business provides to its Customers.

We may modify, suspend, or discontinue any part of the Service at any time. We will give reasonable notice of material changes where practicable.

3. Eligibility and Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using the Service you confirm that you meet this requirement and have the legal capacity to enter into these Terms. If you use the Service on behalf of a Business, you confirm that you are authorised to bind that Business to these Terms.

To use most features you must create an account. You agree to:

provide accurate and complete information and keep it up to date;
keep your login credentials confidential; and
be responsible for all activity that occurs under your account.

Notify us immediately at turhan.huseynov@gmail.com if you suspect unauthorised use of your account.

Account deletion. You may delete your account at any time, self-serve, from your profile in either mobile app or on the web — no need to contact us. When you request deletion:

your account is deactivated immediately: you are signed out and can no

longer use the Service;

for 90 days, deletion is fully recoverable — simply sign in again within

that window and your account, including your data, is restored exactly as it was;

if you do not sign in again within 90 days, your personal data (name,

contact details, profile information, etc.) is permanently anonymised. Non-personal business records that the Service depends on for its operation — such as past bookings and a Business's company history — are retained, but only in anonymised form that is no longer linked to you;

if you are the sole owner of an active Business (company), you must first

transfer ownership to someone else or remove/dissolve the company before you can delete your account; and

deleting your account does not cancel a Subscription billed by the

Apple App Store or Google Play. If you subscribed in the app, you must also cancel through your Apple or Google account to stop future charges (see Section 8).

4. Using the Service as a Customer

Reservations made through the Service are requests to a Business. A

Reservation is only confirmed once the Business accepts it. Bronio does not guarantee that any Business will accept, honour, or fulfil a Reservation.

You are responsible for the accuracy of the information you provide when

making a Reservation, and for attending or cancelling Reservations in line with the relevant Business's policies.

Any disputes about the quality, price, availability, cancellation, or

fulfilment of the underlying goods or services are between you and the Business. Bronio is not responsible for, and accepts no liability for, the conduct of any Business or the goods or services it provides.

Use of the Customer features of the Service is currently free of charge.

5. Using the Service as a Business

If you use the Service as a Business, you additionally agree that:

you are solely responsible for the accuracy of your listing, availability,

pricing, descriptions, and policies (including cancellation and no-show policies);

you will honour confirmed Reservations and deal fairly with Customers;
you are solely responsible for your relationship with, and any contract

between you and, your Customers, including delivering goods and services, handling complaints, issuing any customer refunds, and complying with consumer protection, tax, licensing, and other laws applicable to your business;

you will only upload content (text, images, logos, etc.) that you own or are

licensed to use, and that is lawful and not misleading;

you will collect, use, and protect any Customer personal data you receive

through the Service in accordance with the Law of the Republic of Azerbaijan on Personal Data (No. 998-IIIQ) and any other applicable data protection laws, acting as an independent data owner/operator for your own purposes; and

access to Business features requires an active paid Subscription (see Section

8).

You grant Bronio a non-exclusive, royalty-free licence to host, display, and distribute the content you upload solely for the purpose of operating and promoting the Service.

6. Push Notifications and Communications

The Service relies on push notifications and other messages to deliver Reservation requests, confirmations, reminders, and updates. By using the Service you consent to receive these operational notifications. You can control push notifications through your device settings, but disabling them may prevent the Service from functioning as intended.

We may also send you service-related emails or messages. Marketing communications, where sent, will only be sent with your consent and you may opt out at any time.

7. Acceptable Use

You agree not to:

use the Service for any unlawful, fraudulent, or harmful purpose;
make fake, abusive, or speculative Reservations;
upload content that is illegal, infringing, defamatory, or misleading;
attempt to gain unauthorised access to the Service or interfere with its

operation, security, or infrastructure;

scrape, copy, or reverse-engineer the Service except as permitted by law; or
use the Service to send spam or to harass any other User.

We may suspend or terminate access for any breach of this Section.

8. Subscriptions, Fees, and Billing

8.1 Plans and pricing. Business features require a paid Subscription. The current price is 40 AZN (per month), exclusive of any applicable taxes unless stated otherwise. Current pricing is always shown at the point of purchase. We may change our pricing and monetisation model in the future; any change will apply from your next billing cycle and we will give reasonable advance notice.

8.2 Where you can purchase. Bronio operates a web-first model. You can purchase a Subscription in two ways, and the applicable billing terms depend on where you buy:

On the web (bronio.az): the Subscription is sold and processed by

Paddle.com Market Limited ("Paddle"), acting as our authorised reseller and Merchant of Record. Your purchase is made from Paddle, which handles the payment, invoicing, and applicable taxes, and Paddle's Buyer Terms also apply (available at https://www.paddle.com/legal/checkout-buyer-terms or the then-current link).

In the app (Apple App Store / Google Play): the Subscription is billed by

the relevant app store under its own terms, using its in-app purchase system. We use RevenueCat to manage these in-app Subscriptions; RevenueCat does not process your payment — the app store does. The app store's terms, refund rules, and cancellation rules apply to in-app purchases.

8.3 Billing and renewal. Unless stated otherwise at purchase, Subscriptions renew automatically at the end of each billing period until cancelled. By subscribing you authorise the relevant provider (Paddle for web purchases, or the app store for in-app purchases) to charge your payment method on a recurring basis. You can cancel renewal at any time as described in our Refund Policy: web Subscriptions through Paddle or your account settings, and in-app Subscriptions through your Apple or Google account. Cancellation stops future charges but does not, by itself, refund amounts already paid.

8.4 Refunds. Refunds are governed by our Refund Policy and applicable law. Refunds for web purchases are processed by Paddle as Merchant of Record; refunds for in-app purchases are handled by the relevant app store.

9. Intellectual Property

The Service, including its software, design, text, graphics, logos, and the "Bronio" name and marks, is owned by or licensed to Bronio and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose, subject to these Terms. You may not copy, modify, distribute, sell, or create derivative works from the Service except as expressly permitted.

10. Third-Party Services

The Service depends on third parties, including Apple, Google, Paddle, push notification providers, and hosting and analytics providers. Your use of those services may be subject to their own terms, and we are not responsible for them. We do not control and are not liable for the acts or omissions of these third parties.

11. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any Reservation will be accepted or honoured by a Business.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

Bronio is not liable for any indirect, incidental, special, consequential, or

punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service;

Bronio is not liable for the conduct of any Business or Customer, for the

goods or services provided by any Business, or for any failure to attend or honour a Reservation; and

Bronio's total aggregate liability arising out of or relating to the Service

will not exceed the greater of (a) the total fees you paid to us (or to Paddle on our behalf) in the three (3) months before the event giving rise to the claim, or (b) 50 AZN.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the applicable law of the Republic of Azerbaijan, including liability for death or personal injury caused by negligence, or for fraud.

13. Indemnification

You agree to indemnify and hold harmless Bronio and its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or, if you are a Business, your relationship with your Customers or the goods or services you provide.

14. Term and Termination

These Terms apply for as long as you use the Service. We may suspend or terminate your access at any time if you breach these Terms or if required by law. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination (including Sections 9, 11, 12, 13, and 16) will survive.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by other reasonable means and update the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Azerbaijan. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved amicably will be subject to the exclusive jurisdiction of the competent courts of the Republic of Azerbaijan.

However, if you are a consumer, this Section does not deprive you of any mandatory protections available to you under the law of your country or state of residence. In particular, consumers resident in the European Economic Area or the United Kingdom retain the mandatory consumer-protection and data-protection rights of their home country, and consumers resident in the United States retain the rights available under applicable federal and state law. Where local mandatory law gives you the right to bring proceedings in your local courts or under your local law, that right is not affected by this Section.

17. App Store Terms (Apple and Google)

This Section applies where you obtain the Bronio app from the Apple App Store or Google Play and forms the minimum end-user licence terms required by those stores.

These Terms are between you and Bronio only, not with Apple or Google. Apple

and Google are not responsible for the Service or its content.

The licence granted to you is limited to use of the app on devices you own or

control, as permitted by the App Store Terms of Service or Google Play Terms of Service.

Apple and Google have no obligation to provide maintenance or support for the

app. Any warranty is solely Bronio's responsibility; to the extent any warranty applies and the app fails to conform, Apple's only obligation (where applicable) is to refund the purchase price (if any).

Bronio, not Apple or Google, is responsible for addressing any claims relating

to the app, including product liability, legal or regulatory compliance, and intellectual property claims, subject to these Terms.

You confirm that you are not located in a country subject to a relevant

embargo and are not on any relevant restricted-parties list.

Apple and its subsidiaries are third-party beneficiaries of these Terms and may

enforce them against you as they relate to your use of the app obtained from the App Store.
